Terms of Service

These Terms of Service ("Terms") govern your use of StillOpen, an AI-powered virtual front desk for service businesses, operated by Cole Cummings ("StillOpen", "we", "us"). By signing up, paying, or using the service, you agree to these Terms.

4. 48-hour install guarantee and refunds

The 48-hour install guarantee

StillOpen commits to launching your AI front desk on your website within 48 hours of your install fee payment. The "launch" point is when the StillOpen chat widget is live on your site and answering test messages with your configured business knowledge base.

If StillOpen fails to launch your bot within 48 hours of payment, you are entitled to a full refund of the install fee paid (Express: $297; Pro: $497). Refund requests under this guarantee must be made by emailing [email protected] within 7 days of the missed deadline. Refunds are processed within 5 business days to the original payment method.

Delays caused by the customer (e.g., unresponsive to setup questions, failure to grant Calendar/Stripe access, refusal to approve the knowledge-base preview) extend the 48-hour clock by the duration of the delay.

Monthly service cancellation

The Monthly Service (Express $47/mo, Pro $97/mo) can be cancelled at any time from your dashboard or by emailing [email protected]. Cancellation stops future recurring charges. Partial-month refunds are not provided on the monthly service.

Install fee refunds after launch

Once your bot has launched on your site within the 48-hour guarantee window, the install fee is non-refundable. The 30-day free trial of the monthly service still applies; if you cancel within those 30 days, no monthly charge is made.

You retain ownership of the business information you provide (your "knowledge base"), the conversations the bot has on your behalf, and any leads it captures for you. You grant StillOpen a non-exclusive, worldwide license to host, process, and transmit that content for the sole purpose of providing the service to you.

8. Our service

StillOpen retains all rights in the service itself, including the underlying software, prompts, and infrastructure. Nothing in these Terms transfers any of StillOpen's intellectual property to you.

9. AI-generated replies, disclaimer

StillOpen uses third-party large language models to generate replies. AI replies may occasionally contain inaccuracies, omit information, or misinterpret a customer's question. You are responsible for the prices, services, hours, and policies you configure in your knowledge base, and for the bot's replies that follow from that configuration. StillOpen does not guarantee the accuracy of any specific reply.

10. Service availability

We aim for high uptime but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (Cloudflare, Anthropic, Meta, Stripe, Clerk, Google, Resend), and other events beyond our control may cause downtime.

11. Termination by us

We may suspend or terminate your account if you breach these Terms, if your payment method fails repeatedly, or if continuing to provide service would violate our agreements with third parties (such as Meta).

12. Limitation of liability

To the maximum extent permitted by law, StillOpen's total liability to you for any claim arising out of or relating to the service is limited to the greater of (a) the amount you have paid us in the 12 months prior to the claim, or (b) $100 USD. StillOpen is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business.

13. Indemnification

You agree to indemnify and hold StillOpen harmless from any claim or demand arising out of (a) your use of the service, (b) your knowledge base content, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

14. Governing law

These Terms are governed by the laws of the State of Wisconsin, USA, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Wisconsin.

15. Changes to these Terms

We may update these Terms from time to time. The "Effective" date at the top of this page reflects the latest version. Material changes will be communicated to account holders by email at least 30 days before they take effect.
